These Terms and Conditions (“Terms”) govern the relationship between EXO DIGITAL BV (“we”, “us”, or “our”) and the users or clients (“you”, “your”) regarding the use of our website and post-production services. By accessing our website or engaging our services, you agree to comply with these Terms. If you do not agree with any part of these Terms, please refrain from using our services or website.

1. General Information

EXO DIGITAL BV is a film post-production studio offering a range of services including editing, sound design, visual effects, and related post-production work.

2. Definitions

• Client: Any individual or organization engaging EXO DIGITAL BV for post-production services.
• Services: All post-production services provided by EXO DIGITAL BV, such as editing, sound design, visual effects, color grading, and motion graphics.
• Agreement: Any contract, quote, or arrangement made between EXO DIGITAL BV and the Client for the provision of Services.

3. Scope of Services

EXO DIGITAL BV will provide post-production services as agreed upon in the written or verbal contract with the Client. The Services may include:

• Video and audio editing
• Color correction and grading
• Visual effects (VFX)
• Sound design and mixing
• Motion graphics
• Other related post-production services

The specifics of each project, including deliverables, timelines, and deadlines, will be outlined in the service agreement. Any changes to the original scope may result in additional fees, which will be communicated to the Client.

4. Fees and Payment Terms

• Deposit: A non-refundable deposit of 50% of the total project fee is required before the commencement of Services.
• Payment Schedule: The remaining balance (50%) is due upon completion and delivery of the final project, unless otherwise agreed in writing.
• Late Payments: Invoices not paid within 30 days of the due date will incur a late fee of 2% of the outstanding amount per month.

We reserve the right to suspend or terminate Services if payments are not made according to the agreed terms.

5. Project Delivery

Final project files will be delivered in the format specified in the service agreement. The delivery may be through digital means (such as email or download links) or physical formats, as agreed with the Client.

The Client is responsible for reviewing and providing feedback on the final project within 14 days. If no feedback is received within this period, the project will be considered approved, and full payment will be required.

6. Revisions

We offer 2 rounds of revisions at no additional cost, provided the revisions are within the agreed scope of the project. Any additional revisions requested beyond this will be charged at a rate of €75 per hour or as agreed.

7. Intellectual Property

• Ownership of Work: Upon full payment, the Client will receive the rights to use the final deliverables for the purposes outlined in the agreement. However, EXO DIGITAL BV retains the rights to any proprietary processes, templates, or tools used during the creation of the project unless otherwise agreed in writing.
• Third-party Content: If any third-party content (such as stock footage or music) is used, the Client is responsible for securing any necessary licenses unless otherwise specified.

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the project. This obligation will continue for 5 years after the completion of the project, unless required by law to disclose the information.

9. Cancellation Policy

• By the Client: The Client may cancel the project by providing written notice. In such cases, EXO DIGITAL BV reserves the right to retain the deposit and charge for any work completed up to the point of cancellation.
• By EXO DIGITAL BV: We reserve the right to cancel any project if the Client fails to comply with the payment terms or breaches any other conditions of these Terms. In such cases, no refunds will be given, and we may seek compensation for work completed up to that point.

10. Limitation of Liability

To the fullest extent permitted by law, EXO DIGITAL BV will not be liable for any indirect, incidental, or consequential damages arising out of the use of our services, including, but not limited to, loss of revenue, data, or profits.

Our total liability in any matter related to the Services provided is limited to the amount paid by the Client for the Services.

11. Force Majeure

EXO DIGITAL BV is not liable for any delay or failure in performing our obligations under these Terms due to circumstances beyond our control, including but not limited to, natural disasters, war, strikes, pandemics, or technical disruptions.

12. Website Usage

By accessing and using our website, you agree to comply with these Terms and any applicable laws and regulations. You agree not to use the website in a way that is unlawful, harmful, or that may compromise the security of our services.

EXO DIGITAL BV reserves the right to amend these Terms at any time. Any changes will be posted on our website, and it is the Client’s responsibility to review these Terms regularly. Continued use of our services following any changes constitutes acceptance of the revised Terms.
